CONSTITUTION AND BY-LAWS
OF THE
PARADISE RV RESORT LAWN BOWLS CLUB


Article I – NAME


This Club shall be known as the Paradise RV Resort Lawn Bowls Club a non-profit Organization.

Article II – PURPOSE
The purpose of the Club shall be to encourage and promote lawn bowling
by the residents of the Paradise RV Resort located in Peoria, Arizona.

Article III – MEMBERSHIP
Membership in the club is limited to the residents of Paradise RV Resort.
Exception from this rule would be the Greens Keeper.

There shall be one class of membership:

Regular – A member shall be a qualified lawn bowler in good standing with the club. 

Article IV – DUES AND FISCAL YEAR
1.  Club Dues shall become payable on or before October 1st.

2.  The amount of the annual dues shall be set by the Executive Board, subject to approval of the general membership.  Membership is required in Paradise RV Resort Lawn Bowls Club in order to lawn bowl.

3.  The Club’s fiscal year shall be October 1st through September 30th.

Article V – EXECUTIVE BOARD
1.  The Executive Board is the governing body of the Club and shall have the power to     conduct the affairs of the Club on matters referred to it as a result of action taken at any regular or special meeting of the Club.
2.  The Executive Board shall consist of four elected Officers of the Club together with the three Directors, one of whom shall be the Past President, for a term of one year.

If the Past President is not available, a third Board member shall be elected.*


3.  Interim vacancies on the Executive Board shall be filled by appointment/election by
remaining members of the Executive Board.
 Expenditures – The Executive Board may authorize minor expenditures (up to $200.00)

for Club related expenses, or approved items in the Fiscal Budget. 

Membership approval will be required for major expenditures (items over $200.00). 

  Article VI – OFFICERS AND THEIR DUTIES 

    PRESIDENT is the Chief Executive Officer and as such, he shall:

  • call and preside over all meetings of the Club and the Executive Board.
  • appoint committee chairpersons, and non-elective officers (all with the approval of the Executive Board), as may be necessary to conduct the affairs of the Club, and represent the Club to the management of Paradise RV Resort and to the outside organizations and/or persons.

      VICE PRESIDENT shall function in the place of the President when the President is absent, if the President so request

         SECRETARY shall record and maintain accurate Minutes of the Meetings and records of the affairs of the Club and conduct the necessary correspondence as may be required by Club activities.
    TREASURER shall collect all dues and funds generated by Club activities, make all disbursements, and keep accurate financial and membership records.

The PAST PRESIDENT and elected Board Members are Officers of the Club, and as such, shall help the other Officers  to administrate the affairs of the Club.

  Article VII  COMMITTEES

  1. Committees, committee chairpersons, and specific duty officers shall be appointed by the President, with approval of the Executive Board, as the need arises. 
  2. A three-member Nominating Committee shall be appointed by the Executive Board annually, not less than four weeks prior to the first membership meeting November.  The Nominating Committee will elect its own Chairperson. 
  3. The Club Instructor shall be appointed by the President.  All instructions of new bowlers shall be supervised or approved by the Club Instructor, if Club facilities or equipment is being used.


Article VIII – ELECTION OF OFFICERS

  1. The Nominating Committee shall present its report, consisting of at least one nominee for each elective Officer and Board Member position, at the first meeting in November.  Additional nominations may then be made by any Club member in good standing. 
  2. Election of Officers and Board Members shall be held at the first meeting in November.
  3. Persons elected to office shall assume their duties at the first meeting in November.

Article IX – MEETINGS 

  1. The ANNUAL MEETING OF THE CLUB  will be held in March, at which time a PROPOSED FISCAL BUDGET  will be offered for the next Fiscal Year.  The ORGANIZATIONAL MEETING OF THE CLUB will be held the third week of November, when the ELECTION OF OFFICERS will take place.* 
  2. Meetings of the Club shall be held at such time and place as determined by the President with the approval of the Executive Board. 
  3. Meeting notices shall be posted in the Clubhouse a minimum of 15 days prior to the meeting date.  Such notice shall include a proposed agenda, any change in dues structure or major expenditures (exceeding $200.00).
  4. The Executive Board shall meet prior to every general membership meeting and at other times deemed necessary by the President. 
  5. Ten percent of the members in good standing will constitute a quorum for membership meetings. 
  6. Four members of the Executive Board shall constitute a quorum at meetings of the Executive Board.

    Article X – ORDER OF BUSINESS

    The conduct of the meetings of the Club shall follow Robert’s Rules of Order. Revised edition. 

    Article XI – VOTING
    Matters of current business may be presented, discussed, and voted upon without previous notice to the membership, provided that these matters presented for discussion do not violate Article IX – MEETINGS (item 3) of The Constitution and By-Laws.
    Proposed amendments to the Constitution must be made at least one business meeting prior to the meeting at which it will be voted upon.  A two-thirds favorable vote by the members present shall be required for passage.
